Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Sphere Data Solutions Group, LLC, doing business as The Words Studio ("The Words Studio," "we," "us," or "our"), governing your access to and use of The Words Studio platform, websites, and related services (the "Service").

By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and that organization.

2. Accounts

You must provide accurate information when registering and keep it current. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at support@spheredsg.com if you suspect unauthorized use. We may suspend or terminate accounts that contain false information or that are used in violation of these Terms.

3. The Service; Credits

The Service lets you generate, score, refine, and manage content using AI-assisted tools. Use of the Service consumes "credits." Paid plans include a monthly credit allowance, and you may purchase additional prepaid credit packs.

Your monthly plan allowance resets each billing period and, except as expressly stated, does not roll over.
Prepaid credit-pack balances are consumed after your monthly allowance and roll over month to month while your account remains active.
The credit cost of specific actions is shown in the Service and may change as the Service evolves.

We may modify, add, or discontinue features of the Service at any time.

4. Subscriptions, Billing, Trials, and Cancellation

Billing. Paid subscriptions are billed in advance on a recurring monthly basis through our payment processor, Stripe, using the payment method you provide. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees, including recurring charges, until you cancel.

Free trial. We may offer a free trial (currently 14 days on the Pro plan). A valid payment method may be required to start a trial. Unless you cancel before the trial ends, the trial will convert to a paid subscription and your payment method will be charged the applicable fee.

Cancellation. You may cancel at any time. When you cancel, your subscription remains active through the end of the current paid billing period, and it will not renew thereafter. Cancellation does not entitle you to a refund for the remaining portion of the current period.

Refunds. Except where required by law, fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused credits, or unused allowance.

Price changes. We may change our prices and plan features. We will provide reasonable advance notice of price changes, and changes will take effect on your next billing period. Your continued use after a price change takes effect constitutes acceptance.

Taxes. You are responsible for any applicable taxes, which may be added to your charges.

5. Your Content

Ownership. As between you and us, you own the content you submit to and generate through the Service ("Customer Content"). We do not claim ownership of your Customer Content.

License to us. You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and otherwise use your Customer Content solely as necessary to provide, secure, and improve the Service for you, including transmitting it to the third-party AI providers that power the Service as described in our Privacy Policy. This license ends when you delete the Customer Content or close your account, except for content retained as required by law or in routine backups for a limited period.

Your responsibility. You represent that you have all rights necessary to submit your Customer Content and that your Customer Content and your use of the Service do not violate any law or infringe any third party's rights. You are solely responsible for your Customer Content and for reviewing, editing, and verifying any output before you use or publish it.

No training on your content. We do not use your Customer Content to train our own models.

6. AI-Generated Output

The Service uses AI to generate and modify content. You understand and agree that:

AI output may be inaccurate, incomplete, or otherwise flawed, and may not be unique to you; similar inputs may produce similar outputs for other users. You are responsible for reviewing and verifying all output before relying on or publishing it.
We make no warranty that output is accurate, original, non-infringing, or fit for any particular purpose.
To the extent we hold any rights in the raw output returned to you, we assign them to you, so that you may use your output consistent with these Terms; this does not transfer any rights in the Service itself or in the underlying models or technology.

7. Refinement and "Humanizing" Tools

The Service includes tools that rewrite and refine drafts to read more naturally and to better reflect your chosen voice (including the feature referred to as "The Rewrite").

No detection guarantee. These tools are designed to improve how natural and human a piece of writing reads. We do not guarantee how any third-party AI-detection system, plagiarism checker, scoring tool, platform, or institution will evaluate, classify, or score any output, and detection results are outside our control and may change over time. Any scores or readouts the Service displays are estimates provided for your convenience and are not a guarantee of any outcome.

8. Acceptable Use

You agree to use the Service lawfully and honestly, and you are solely responsible for how you use the Service and its output. You agree not to use the Service to:

Violate any applicable law or regulation, or infringe or misappropriate any third party's intellectual-property, privacy, or other rights;
Commit plagiarism or academic dishonesty, or to misrepresent the authorship or origin of content where you are required to disclose how it was created, including in violation of the rules or policies of any school, university, employer, publisher, platform, or other institution to which you are subject;
Create or distribute content that is unlawful, defamatory, harassing, deceptive, fraudulent, or that exploits or endangers minors;
Generate spam, malware, or content intended to deceive or harm others;
Attempt to reverse engineer, decompile, scrape, or extract the Service's underlying models, prompts, or source code, or to circumvent usage limits, security, or access controls; or
Resell, sublicense, or provide the Service to third parties except as expressly permitted.

You are responsible for ensuring that your use of the Service and any output complies with the policies of any institution or third party to which you are subject. We may suspend or terminate accounts that violate this Section.

9. Our Intellectual Property

The Service, including its software, models, design, features, the "Cleo" assistant, and all related trademarks, names, and branding (including "The Words Studio"), are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. We reserve all rights not expressly granted.

10. Third-Party Services

The Service relies on and may link to third-party services (including those listed in our Privacy Policy). We are not responsible for third-party services, and your use of them may be subject to their own terms and policies.

11. Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE, ORIGINAL, OR MEET YOUR REQUIREMENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE WORDS STUDIO OR SPHERE DATA SOLUTIONS GROUP, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless The Words Studio and Sphere Data Solutions Group, LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Customer Content, your use of the Service, or your violation of these Terms or any law or third-party right.

14. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located in Illinois for any dispute arising out of or relating to these Terms or the Service.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date, and if changes are material we may provide additional notice. Your continued use of the Service after changes become effective means you accept the revised Terms.
